Annual General Meeting of gategroup Holding AG: Shareholders approve the Board of Directors’ proposals

ZURICH, April 14, 2016

gategroup Holding AG held its Annual General Meeting of Shareholders today. Shareholders, representing 59.02% of all outstanding shares, voted in favor of the proposals submitted by the Board of Directors.

The Annual General Meeting approved the annual report, the consolidated financial statements and the annual financial statements as well as the 2015 compensation report in a consultative vote. The Annual General Meeting also granted discharge to the members of the Board of Directors and the Executive Management Board for the financial year 2015. The Annual General Meeting further approved the proposed dividend distribution of CHF 0.30 per share. As previously communicated in the press release of April 13, 2016, the Board of Directors intends to submit to the next General Meeting a revised proposal regarding compensation of the Executive Management Board.

Incumbent Board members David Barger, Remo Brunschwiler, Gerard van Kesteren, Frederick Reid, Andreas Schmid, Julie Southern and Anthonie Stal were re-elected as members of the Board of Directors, each for a further term of office. The Annual General Meeting also re-elected with clear majority Andreas Schmid as Chairman of the Board of Directors and Frederick Reid, Julie Southern and Anthonie Stal as members of the Nomination and Compensation Committee.

The proposals of RBR and Cologny Advisors, to elect Rudolph Bohli and Nils Engel as new members to the Board of Directors, were denied. The proposal of the same shareholder group for an extraordinary audit was also denied.

In addition, the Annual General Meeting newly elected Ernst & Young AG, Zürich, as auditors for the financial year 2016.
