gategroup Holding AG: Extraordinary General Meeting elects new Board of Directors

ZURICH, July 29, 2016

An Extraordinary General Meeting of Shareholders of gategroup holding AG ("gategroup") today voted in favour of all proposals submitted by the Board of Directors and elected new members to the Board of Directors of the company. The elections were held in connection with the public tender offer launched by HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd., Hong Kong ("Offeror") for all publicly held registered shares of gategroup.

Subject to the offer being successful, shareholders representing 50.53% of all outstanding shares elected the following members to the Board of Directors of gategroup: Adam Tan, Di Xin, Frank Nang, Stewart Gordon Smith and Xavier Rossinyol (all new) and Frederick W. Reid who is already a member of the Board of Directors. Adam Tan has been elected as Chairman of the Board of Directors and together with Di Xin and Frederick W. Reid also as member of the Compensation Committee. The elections were held each for a term extending until the end of the next annual general meeting of shareholders.

With the positive shareholders vote on these agenda items, another condition for the successful closing of the offer has been met. The newly elected Board of Directors is to assume office on the day of the closing of the offer. Until then, the current Board of Directors will remain in in charge.
