gategroup takes note of request for agenda items

ZURICH, February 29, 2016

 

gategroup has received from RBR Capital Advisors and Camox Master Fund, two hedge funds based in the Cayman Islands and Luxembourg that together hold an 11.3% stake in gategroup, the request for agenda items for the Annual General Meeting of Shareholders 2016.

In its request, RBR has proposed the election of Gerard von Kesteren, Nils Engel and Rudolph Bohli as members of the Board of Directors of gategroup. In addition, the hedge fund has filed a motion against the re-election of the current Board members Andreas Schmid, Anthonie Stal and Remo Brunschwiler.

As already communicated by the Company, the Nomination Committee of the Board of Directors unanimously recommends the re-election at the 2016 AGM of current Board Members David Barger, Remo Brunschwiler, Frederick Reid, Julie Southern and Anthonie Stal, as well as Andreas Schmid as Chairman of the Board of Directors. It recommends that Gerard van Kesteren is not re-elected.
