HNA extends postponement of the settlement until the end of 2016
HAIKOU, People's Republic of China and ZURICH, Switzerland, November 21, 2016
On 20 May 2016, HNA Aviation (Hong Kong) Air Catering Holding Co., Ltd., Hong Kong ("Offeror"), a subsidiary of HNA Group Co., Ltd. ("HNA"), published the Offer Prospectus on the public tender offer (“Offer”) for all publicly held shares of gategroup Holding AG ("gategroup Shares").
In accordance with Section A.7.3 (Period for which the Offer Conditions are in Force and in Effect and Postponement) of the Offer Prospectus, the Swiss Takeover Board agreed to a postponement of the settlement for a period of up to four months after the expiration of the additional acceptance period. This period expires on 21 November 2016.
As settlement of the Offer is expected in the fourth quarter 2016, the Offeror applied for an extension until 31 December 2016 which was approved by the Swiss Takeover Board on 18 November 2016.
After the satisfaction of all offer conditions, the Offeror will (i) inform about the closing of the second trading line for gategroup Shares tendered into the Offer and (ii) announce the settlement date.
